Terms of Service
v1.0 · sha256 2775e15494e2
Version 1.0 · Effective [待填:生效日期]
1. About these Terms
1.1 Everyone Reader (the Service, available at everyonereader.com) is operated by [待填:法定主体名称] (ABN [待填:ABN]), of [待填:营业地址] (we, us, our).
1.2 These Terms of Service (Terms), together with our Privacy Policy, Refund Policy and Copyright & Takedown Policy (together, the Policies), form a binding agreement between you and us. You accept them by ticking the acceptance box when you create an account, or when we ask you to accept an updated version. If you do not agree, do not use the Service.
1.3 You must be at least 18 years old and able to enter into a binding contract to use the Service. If you use the Service for a business, you confirm you are authorised to bind that business, and "you" includes that business.
2. The Service
2.1 The Service turns written text that you upload (Your Text) into an audio drama: a narrator, a distinct synthetic voice for each character, ambience, sound effects and music, mixed into finished audio, an editable multitrack project and subtitles (together, Outputs).
2.2 All voices are synthetic. Outputs are generated using artificial-intelligence systems, including services provided by third parties such as ElevenLabs (speech, sound and music generation) and Anthropic (script analysis). No human voice actor performs your work. Outputs may contain errors, including mispronunciations, incorrect emphasis or mis-attributed lines.
2.3 We may change, add or remove features. Where a change materially reduces a feature you have already paid for, the Refund Policy applies.
3. Your account
3.1 You must give accurate information, keep your password confidential and tell us promptly at support@everyonereader.com if you suspect unauthorised use. You are responsible for activity on your account.
3.2 An account is for one person or one business. You must not share, sell or transfer your account.
4. Copyright and your rights in Your Text
This section is a fundamental term of our agreement.
4.1 You may only upload text that you have the right to turn into audio. This means that either:
(a) you are the author and the sole owner of the copyright in Your Text, and you have not granted anyone else exclusive audio, dramatisation or adaptation rights that would prevent you from using the Service; or
(b) you hold a written licence or assignment from every owner of the copyright in Your Text that expressly permits audio adaptation (including dramatised, multi-voice adaptation), synthetic voice narration and the use you intend to make of the Outputs.
4.2 Rights declaration on every upload. Each time you submit text you must complete a rights declaration. We record the declaration, the date and time, your IP address, your browser identifier and a cryptographic fingerprint of the submitted text. A false declaration is a material breach of these Terms.
4.3 What you must not upload. Without limiting clause 4.1, you must not upload:
(a) any book, web novel, serial, script, article or other text written by someone else, including text copied from websites, apps, e-books or reading platforms, unless clause 4.1(b) applies;
(b) translations of another person's work, or fan fiction, sequels or adaptations based on another person's characters or world, unless you hold a licence that covers them;
(c) text that infringes any trade mark, moral right, privacy right, right of publicity or other right of any person; or
(d) text that you obtained by breaching a contract, a platform's terms of use or any technical protection measure.
4.4 Evidence. If you rely on a licence, you must keep a copy and give it to us within 7 days if we ask. We may suspend production, downloads or your account while we wait.
4.5 Review. We may, but are not obliged to, review uploads manually or with automated tools, ask you for evidence of your rights, and refuse or stop any production. We do not confirm or endorse that you hold any rights.
4.6 Consequences of infringement. If we reasonably believe that Your Text or your use of an Output infringes another person's rights, we may, without liability to you:
(a) remove or disable access to Your Text and the related Outputs;
(b) suspend or terminate your account;
(c) keep records of the material, your declarations and our actions as evidence; and
(d) disclose your identity and those records to the rights holder, a court or a law-enforcement authority where the law requires or allows it.
4.7 Repeat infringers. We terminate the accounts of users who are the subject of repeated valid infringement notices, as described in our Copyright & Takedown Policy. We may terminate immediately for a single serious or wilful infringement, such as uploading a commercially published book.
4.8 Responsibility for infringement. You are responsible for any claim, loss, damage, fine or reasonable cost (including legal costs) that we incur because Your Text or your use of an Output infringes someone else's rights or because you breached this section 4, except to the extent the loss was caused by our own breach or negligence.
4.9 If you believe your work has been uploaded without permission, please follow our Copyright & Takedown Policy.
5. The licence you give us
5.1 You keep all rights you hold in Your Text. You grant us a non-exclusive, worldwide, royalty-free licence to host, store, copy, process, transmit to our service providers, and modify (for example, by splitting it into lines and adding performance directions) Your Text, only as needed to provide the Service to you, to keep records required by law or these Terms, and to deal with infringement complaints.
5.2 We do not use Your Text or your Outputs to train our own AI models, and we do not publish them. Our service providers process them under their own terms, as described in our Privacy Policy.
5.3 This licence ends when Your Text is deleted from the Service, except for copies we keep as records under clause 4.6(c) or as required by law.
6. Outputs
6.1 As between you and us, and subject to your rights in Your Text and to these Terms, you own the Outputs, and we assign to you any rights we hold in them. Depending on the law where you are, AI-generated material may not attract copyright protection, and we make no promise that it does.
6.2 You may use, edit, publish and sell Outputs, provided you have the rights described in section 4 for the intended use. You must not:
(a) use Outputs, or any voice in them, to train, fine-tune or build a voice model, or to clone or recreate any voice;
(b) present a synthetic voice as the voice of a real, identifiable person, or use Outputs to deceive anyone about who is speaking;
(c) extract the music or sound-effect tracks from the editable project and distribute them on their own, for example as a sound library or stock music. You may use them inside productions made from your Outputs; or
(d) represent Outputs as performed by human voice actors where a platform, contract or law requires you to disclose AI narration. You are responsible for complying with the AI-content rules of any platform where you distribute Outputs.
6.3 Outputs may be similar to outputs generated for other users, for example in the sound effects or music used. Those similar outputs are not yours.
7. Acceptable use
You must not use the Service to create or upload material that is unlawful; sexualises minors; promotes terrorism or violent extremism; harasses, threatens or defames anyone; impersonates a real person; is deceptive political or election material; or infringes anyone's rights. You must not attempt to interfere with the Service, circumvent credit, rate or security limits, scrape the Service, reverse engineer it, resell access to it, or use it to build a competing service.
8. Credits, prices and payment
8.1 The Service uses prepaid credit denominated in US dollars. Prices are shown on our pricing page and, for each chapter, on the order screen before you confirm. Prices include any tax we are required to charge unless stated otherwise.
8.2 Top-ups are processed by our payment provider, Creem, which may act as the reseller or merchant of record and may show its own name on your statement. Its terms also apply to your payment. We do not receive or store your full card details.
8.3 When you confirm a chapter, its price is held from your balance. The held amount is charged when the chapter is delivered and released back to your balance if we fail to deliver it or you cancel it before production starts.
8.4 Credit is not transferable, has no cash value and cannot be exchanged except as set out in the Refund Policy. Price changes do not affect chapters you have already confirmed.
9. Refunds and consumer guarantees
9.1 Refunds are governed by our Refund Policy.
9.2 Australian Consumer Law. Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms or the Policies excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by any law that cannot lawfully be excluded or limited. If you are a consumer in another country, you also keep the mandatory protections of your local law.
10. Third-party services
The Service relies on third-party providers, including Cloudflare (hosting and storage), ElevenLabs and Anthropic (AI processing), and Creem (payments). We are not responsible for their acts beyond what is set out in these Terms, but we choose them with care and will help you resolve problems they cause.
11. Suspension and termination
11.1 You may stop using the Service and delete your account at any time in your account settings.
11.2 We may suspend or terminate your account if you materially breach these Terms (including section 4 or 7), if required by law, or if your account has been inactive for more than 24 months (after giving you at least 30 days' notice).
11.3 On termination, your right to use the Service ends and we will delete Your Text and Outputs as described in the Privacy Policy. Unused credit is dealt with under the Refund Policy. Sections 4.6, 4.8, 6, 9, 12, 13 and 15 survive termination.
12. Disclaimers
To the extent permitted by law, and subject to clause 9.2, the Service and Outputs are provided "as is". We do not promise that Outputs will be free of errors, uninterrupted, or suitable for a particular purpose, or that they will be accepted by any distribution platform.
13. Limitation of liability
13.1 To the extent permitted by law and subject to clause 9.2, we are not liable for any indirect or consequential loss, or for loss of profits, revenue, data or goodwill.
13.2 To the extent permitted by law and subject to clause 9.2, our total liability arising out of or in connection with the Service is limited to the amounts you paid us in the 12 months before the event giving rise to the liability.
13.3 Where the Australian Consumer Law allows us to limit our liability for breach of a consumer guarantee, our liability is limited, at our option, to supplying the services again or paying the cost of having them supplied again.
14. Changes to these Terms
We may update these Terms or the Policies. For material changes we will notify you by email or on the Service at least 14 days before they take effect (except where a change is required by law or relates to a new feature), and we will ask you to accept the new version the next time you sign in. If you do not accept, you may delete your account and request a refund of unused credit.
15. General
15.1 These Terms are governed by the laws of [待填:适用法律所在州], Australia. Each party submits to the non-exclusive jurisdiction of the courts of that State and the Commonwealth of Australia. This does not remove any mandatory right you have to bring proceedings in your own country.
15.2 If part of these Terms is invalid or unenforceable, it is severed and the rest remains in force. A failure to enforce a term is not a waiver. You may not assign these Terms; we may assign them to a successor to our business after notifying you.
15.3 The English version of these Terms governs. Translations and summaries are for convenience only.
